Terms & Conditions

These Terms and Conditions ("Terms") govern your purchase, download, and use of the AgentRobbi software ("Software") and the agentrobbi.com website. By purchasing, downloading, installing, or using the Software you agree to be bound by these Terms. If you do not agree, do not use the Software.

These Terms sit alongside the Commercial Software Licence Agreement and the Third-Party Licences bundled with each build. Where the Commercial Licence and these Terms overlap, the Commercial Licence governs ownership and distribution, and these Terms govern operational use, payments, and refunds.

1. What the Software does

AgentRobbi is a local-first AI workstation for Windows. It runs large language models on your own hardware via a bundled llama.cpp server, orchestrates tool calls (web search, web fetch, file operations, integrations), and stores conversation history, memories, and workspace files on your local disk.

The Software ships with:

  • A single Rust binary (agentrobbi.exe) bundling the Axum HTTP server and embedded UI.
  • A bundled llama-server CPU build, plus an on-demand CUDA build downloaded automatically when an NVIDIA GPU is detected.
  • HTTP clients for optional cloud LLM providers (OpenRouter, OpenAI, Groq, Cerebras, Kimi, custom OpenAI-compatible endpoints).
  • An encrypted on-disk secrets vault (AES-256-GCM, PBKDF2-SHA-256).
  • An agentic runner system, integration catalogue, and SQLite chat memory.

2. Licence grant

Subject to your acceptance of and continued compliance with these Terms, the Commercial Licence Agreement, and payment of all applicable fees, Marc Gough trading as [ so.design ] ("Licensor") grants you a non-exclusive, non-transferable, revocable licence to install and use the Software on Windows machines you own or control, for personal or internal business use.

The Updates Pass subscription, where purchased, grants ongoing access to the model catalogue refresh service and feature updates while the subscription remains active.

3. Restrictions

You may not, and you may not permit any third party to:

  • Copy, redistribute, resell, or sublicense the Software, the installer, or any licence key issued to you.
  • Reverse engineer, decompile, or disassemble the proprietary portions of the Software, except and only to the extent that such activity is expressly permitted by applicable law that cannot be contractually waived.
  • Remove or alter copyright notices, branding, or attribution contained in the Software.
  • Use the Software to violate any applicable laws or regulations, or to generate or transmit unlawful content.
  • Use the Software to operate a public-facing AI service without a separate written agreement.

4. Local-first data handling

The Software runs entirely on your machine. Chat transcripts, project files, memories, vault contents, and settings are stored locally under %USERPROFILE%\Documents\AgentRobbi\ and are never transmitted to Licensor or any third party except where you explicitly configure cloud features (e.g. cloud LLM providers, web search, GitHub or other integrations) using your own API keys.

Cloud LLM providers, search providers, and integration endpoints you configure in the Software are operated by their respective third parties and are governed by their own privacy policies and terms of service. Licensor is not a party to those agreements.

5. Licence verification & revocation

The Software performs a periodic licence-validity check by contacting agentrobbi.com/api/license/check with your licence identifier. The endpoint returns only whether the licence is currently valid. No telemetry, model usage data, prompts, or completions are transmitted as part of this check.

If the validity check cannot reach the server, the last successful response is honoured for seven (7) days as an offline grace period. After that grace period the Software will refuse to start the local engine until a successful check is completed.

Licensor reserves the right to revoke a licence in the event of refund, chargeback, breach of these Terms, or fraud.

6. Pricing, payment, and tax

The Software licence is sold for AUD- or USD-equivalent $49 as a one-time purchase. The optional Updates Pass subscription is $5 per month billed monthly. Both are exclusive of any applicable goods and services tax (GST), value-added tax (VAT), or sales tax, which is calculated and charged by Stripe at checkout based on your billing location.

All payments are processed by Stripe. Card details never touch Licensor's servers. Stripe's Services Agreement and Privacy Policy apply to that relationship.

7. Refunds

14-day money-back guarantee. If for any reason you are not satisfied with the Software, email support@agentrobbi.com within fourteen (14) days of purchase and we will refund your payment in full. Your licence will be revoked at the same time and the Software will gate access to the local engine on the next licence check.

Updates Pass subscriptions can be cancelled at any time from your Stripe customer portal. Cancellation stops future renewals; the catalogue refresh service remains active for the remainder of the paid period and your installed Software continues to function with the catalogue and features available at the time of cancellation.

8. Updates & support

Critical security and bug-fix updates are provided to all licence holders during the alpha series at no additional cost. Feature releases, new agentic runners, new integrations, and refreshed model catalogues are gated by an active Updates Pass subscription.

Support is provided via email at support@agentrobbi.com on a best-effort basis, with priority for active Updates Pass subscribers.

9. Alpha-status disclosure

AgentRobbi is currently in public alpha. Although it is stable enough for daily use on the operator's primary workstation, you acknowledge and accept that:

  • APIs, settings shapes, and on-disk formats may change between alpha releases. The Software performs automatic data migrations where practical, but you should keep your own backups of any irreplaceable workspace files.
  • Crashes, regressions, and rough edges are expected and welcomed as bug reports.
  • The product roadmap, including platform support and pricing beyond the alpha series, may change.

10. Disclaimer of warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. Licensor makes no warranties regarding performance, accuracy, merchantability, fitness for a particular purpose, or non-infringement. You are solely responsible for evaluating the suitability of the Software for your use case.

AI-generated content can be inaccurate, biased, or harmful. Licensor does not warrant that any output of the Software is correct, safe, or fit for any particular purpose. You are responsible for reviewing and validating outputs before relying on them.

11. Limitation of liability

To the maximum extent permitted by law, in no event shall Licensor be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of, or inability to use, the Software, even if advised of the possibility of such damages. Licensor's total cumulative liability under these Terms shall not exceed the amount you paid for the Software in the twelve months preceding the claim.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including the Australian Consumer Law where it applies.

12. Governing law

These Terms are governed by and construed in accordance with the laws of Victoria, Australia, without regard to conflict-of-law principles. The parties submit to the exclusive jurisdiction of the courts of Victoria, Australia.

13. Changes to these Terms

Licensor may update these Terms from time to time to reflect changes in the product, applicable law, or business practice. The "Last updated" date at the top of this page will be revised accordingly. Material changes affecting subscribers will be notified by email at least thirty (30) days before they take effect. Continued use of the Software after the effective date of an update constitutes acceptance of the revised Terms.
